1Agreement & Global 16+ Age Eligibility
By creating an account, accessing, or using the mobile software applications, APIs, messaging features, and event discovery platform operated by Circl Network Inc. (“Circl”, “Company”, “we”, “us”, or “our”), you (“User”, “you”, or “your”) enter into a legally binding contract governed by these Terms of Service (“Terms”).
1.1Mandatory Minimum Age Threshold & Local Age of Majority Acknowledgment
To align with global data privacy frameworks (including EU/UK GDPR, US state laws, PIPEDA, and Quebec Law 25) and ensure a secure user environment for physical event discovery:
- Global Baseline Requirement: You must be at least 16 years of age to create an account, access, or use Circl anywhere in the world. Individuals under 16 are strictly prohibited from registering.
- Jurisdictional Age of Majority Recognition: You explicitly recognize that the legal age of majority varies by jurisdiction (for example, 19 years of age in British Columbia, Canada, New Brunswick, and Nova Scotia, versus 18 years of age in Ontario, Alberta, or Quebec).
Actual Knowledge Standard & Parent/Guardian Legal Mandate: Circl utilizes neutral date-of-birth verification screens during registration and does not proactively demand government identity documents. If you are between 16 years of age and the local statutory age of majority in your jurisdiction (e.g., under 19 in British Columbia, Canada), your parent or legal guardian is solely responsible for supervising your online interactions and attendance at any in-person events discovered on Circl. Bypassing neutral age gates through false representations constitutes a material breach of contract. If Circl acquires actual knowledge that an account belongs to an individual under 16, Circl will immediately terminate the account and purge all associated personal data.
Contracts with Persons Under the Age of Majority. The age of majority in British Columbia is nineteen (19) years. Pursuant to the Infants Act, R.S.B.C. 1996, c. 223, a contract entered into by a person under the age of nineteen (19) is, subject to limited statutory exceptions, unenforceable against that person. A User who has not attained the age of majority in the User's jurisdiction of residence should obtain the involvement of a parent or legal guardian before completing any purchase on the platform. Where a purchase is completed by a person under the age of nineteen (19), Circl reserves the right to treat the resulting contract as unenforceable against that person and to cancel the transaction and refund the amount paid. Nothing in these Terms imposes liability upon, or creates an indemnity obligation binding upon, a parent or legal guardian by reason of the use of the platform by another person.
1.2Unified Account Architecture
Circl operates a unified account infrastructure. A single registered account enables a User to act as both a Circl Member (attending events, joining circls (groups), participating in messaging) and a Circl Organizer (creating circls (groups), hosting events, and processing ticket sales). Transitioning between roles does not alter or extinguish your obligations under these Terms.
2Platform Identity: Passive Technology Facilitator (Not an Organizer)
EXPRESS PLATFORM ROLE DISCLOSURE: CIRCL NETWORK INC. IS SOLELY A PASSIVE SOFTWARE PLATFORM AND TECHNOLOGY FACILITATOR THAT CONNECTS INDEPENDENT USERS, CLUBS, AND THIRD-PARTY ORGANIZERS. CIRCL IS NOT AN EVENT ORGANIZER, PROMOTER, HOST, VENUE OPERATOR, OR AGENT. CIRCL DOES NOT OWN, CONTROL, OPERATE, MANAGE, SUPERVISE, EMPLOY, OR DIRECT ANY IN-PERSON EVENTS, MEETUPS, OR ACTIVITIES LISTED ON THE APP. ALL IN-PERSON EVENTS ARE ORGANIZED AND EXECUTED ENTIRELY INDEPENDENTLY BY THIRD-PARTY ORGANIZERS WHO BEAR SOLE LEGAL AND PHYSICAL RESPONSIBILITY FOR THEIR EVENTS.
3Authentication & Telecommunications Terms (Twilio / SMS)
Circl implements passwordless authentication using Phone One-Time Password (OTP) technology provided via Twilio Inc., alongside federated Single Sign-On (SSO) options including Google OAuth, Apple Sign-In, and Facebook Login.
3.1SMS Opt-In & Mobile Carrier Disclosure
By providing your phone number during sign-up or login, you grant express consent to receive transactional text messages (including security passcodes, multi-factor authentication alerts, and essential ticket notifications) from Circl via automated SMS infrastructure.

5Financial Terms, Ticketing & Legal Clawback Architecture
5.1Payment Infrastructure & Digital Invoices
Payment processing, ticket sales, and digital wallet features are powered by Stripe, Inc. By executing transactions or hosting paid events on Circl, you agree to the Stripe Connected Account Agreement and Stripe Terms of Service. Circl maintains verified digital receipts and wallet invoice logs accessible within user accounts.
5.2Platform Service Fees
Circl charges a platform service fee on transactions completed through the platform. The service fee is included in the total price displayed to the purchaser before the purchase is completed. Service fees fund platform infrastructure, payment security and dispute-handling systems.
Except where a refund is required by applicable law, platform service fees are earned upon completion of the transaction and are non-refundable.
Preservation of Statutory Rights. Nothing in this Section 5.2 limits, excludes, restricts or modifies any right, benefit or protection conferred on you by the Business Practices and Consumer Protection Act, S.B.C. 2004, c. 2 (the “BPCPA”) or by any other applicable consumer protection law, including any right to cancel a contract and to receive a refund. Where such a right applies, Circl will refund all amounts required by law, without deduction, within fifteen (15) days after notice of cancellation is given, and any provision of these Terms that would otherwise reduce or delay that refund is of no effect as against you.
The following table sets out Circl's ordinary commercial refund policy. It does not describe, limit or override any statutory right, each of which applies in addition to, and prevails over, the policy set out below.

5.3Recovery of Refunds, Chargebacks and Clawbacks (Organizers)
Where Circl issues a refund to a Member, or bears a chargeback, dispute or associated cost, by reason of an Organizer's failure to hold an event, cancellation of an event, misrepresentation, or breach of these Terms, the Organizer shall be liable to Circl for the amount so refunded or borne, together with associated processing and dispute costs (collectively, the “Recoverable Amount”). Circl may recover the Recoverable Amount by any one or more of the following means:
- Set-Off. Circl may set off and deduct the Recoverable Amount from any present or future payout, pending ticketing revenue, or other balance payable by Circl to the Organizer. The Organizer expressly authorizes such set-off and agrees that it may be applied against any amount owing by the Organizer to Circl under these Terms.
- Reversal of Transfers. Circl may reverse, in whole or in part, any transfer previously made to the Organizer's connected payment account in respect of the affected transaction.
- Recovery by the Payment Processor. The Organizer contracts directly with Circl's payment processor (currently Stripe, Inc.) upon connecting a payout account, and thereby accepts the processor's own agreement. Under that agreement — and not under these Terms — the processor may recover a negative balance on the Organizer's connected account, including by debiting the bank account linked to it. Circl does not itself initiate debits against any bank account. The Organizer's rights and recourse in respect of any such debit are governed by the Organizer's agreement with the processor and by applicable payment network rules.
- Pre-Authorized Debits Only by Separate Agreement. Circl does not operate pre-authorized debits. Should Circl introduce pre-authorized debits, Circl will first enter into a separate pre-authorized debit agreement with the Organizer that complies with Payments Canada Rule H1, including the mandatory elements prescribed by Appendix II thereto, applicable pre-notification requirements, and the Organizer's recourse and reimbursement rights. No provision of these Terms constitutes, or shall be construed as, a pre-authorized debit authorization.
Survival. The Recoverable Amount constitutes a debt owing to Circl that survives suspension, termination or deletion of the Organizer's account. Nothing in this Section 5.3 limits any right or protection available to the Organizer under applicable law, including the BPCPA and applicable payment network rules.
5.4Membership Subscriptions, Renewal and Cancellation
Paid memberships renew automatically for successive terms until cancelled. A Member may cancel a paid membership at any time by means of the cancellation controls in the Member's account, where available, or by written notice to support@circlhq.com. Circl will give effect to a cancellation request without undue delay.
Where a membership renews for a term of sixty (60) days or less, the Member may cancel at any time, whether before or after a renewal date, without charge or penalty. Where a membership renews for a term longer than sixty (60) days and the Member cancels after a renewal date, Circl will refund the portion of the amount paid that is required to be refunded under the BPCPA and its regulations, within fifteen (15) days after the Member's notice of cancellation. Where the BPCPA requires Circl to give advance notice of a renewal, Circl will give that notice within the time and in the manner that the BPCPA prescribes.
Nothing in this Section 5.4 limits any right of a Member under Section 5.2 or under applicable law.
6User-Generated Content & Intellectual Property
You retain formal ownership of all text, photographs, and event assets posted to Circl. However, to operate our platform services, you grant Circl a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, display, format, reproduce, and distribute your public posts, event photos, profile data, and circl (group) listings across mobile and web interfaces.
7Risk, Disclaimers & Limitation of Liability
7.1In-Person Events Are Organized by Third Parties
Events listed on the platform are organized, staffed and conducted by independent Organizers, at venues that Circl does not own, occupy, select or control. Attendance at an in-person event involves inherent risks, including risks of personal injury, illness, property damage, theft, and death. By choosing to attend an event, you acknowledge those inherent risks.
The Organizer of an event, and any venue operator, is responsible for the safety of the event and of the premises at which it is held. An Organizer may require attendees to execute the Organizer's own waiver or acknowledgement at or before the event; any such agreement is between the attendee and the Organizer.
7.2NO BACKGROUND CHECKS OR VERIFICATION
CIRCL DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS, IDENTITY VERIFICATIONS, OR SAFETY SCREENINGS ON MEMBERS, ORGANIZERS, OR EVENT VENUES. CIRCL MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, CHARACTER, SAFETY, PERMITS, OR SUITABILITY OF ANY USER OR THIRD-PARTY EVENT ORGANIZER.
7.3Circl's Role and Limits of Circl's Responsibility
(a) Third-Party Conduct. Circl is a technology platform. Circl is not an event organizer, promoter, venue operator, or occupier of any premises. Circl is not responsible or liable for the acts or omissions of Organizers, venue operators, or other users, including the condition of any premises, the conduct of any event, or any injury, loss or damage arising at or in connection with an event. Any claim arising from an event lies against the Organizer or venue operator responsible for that event.
(b) Circl's Own Conduct. To the extent permitted by applicable law, and subject to Section 7.6, Circl shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the platform.
7.4Indemnity
You shall indemnify Circl against third-party claims, and reasonable associated legal costs, arising from your own breach of these Terms, your unlawful conduct, your infringement of the rights of a third party, or content you submit to the platform.
This indemnity does not extend to any claim to the extent that it arises from Circl's own negligence, breach or willful misconduct, nor to any liability against which indemnification is not lawfully permitted. No parent or guardian is bound by, or assumes any obligation under, this indemnity by reason of the use of the platform by another person.
7.5Limit on Circl's Liability
Subject to Section 7.6, the total aggregate liability of Circl to you for all claims arising in any twelve (12) month period shall not exceed the greater of:
(a) the total amounts paid by you to Circl, or collected from you by Circl, in respect of the transaction giving rise to the claim; and
(b) the total platform service fees paid by you to Circl in the twelve (12) months preceding the event giving rise to the claim.
7.6Exclusions from the Limitations of Liability
Nothing in these Terms excludes, restricts or modifies, and Sections 7.3, 7.4 and 7.5 do not apply to:
(a) liability for death or personal injury caused by Circl's own negligence;
(b) liability for fraud or fraudulent misrepresentation;
(c) any right, benefit, protection, guarantee or remedy conferred on you by the BPCPA or by any other applicable consumer protection law, to the extent that it cannot lawfully be excluded, restricted or modified; or
(d) any other liability that cannot lawfully be excluded or limited.
Where a limitation or exclusion in these Terms is unenforceable as against you, it does not apply to you, and the remainder of these Terms continues in full force and effect.
8Account Suspension, Termination & Enforcement Measures
To protect platform integrity, prevent fraud, and maintain community safety, Circl Network Inc. enforces a comprehensive legal enforcement framework modeled after institutional platform compliance standards.
8.1Scope of Enforcement Measures
If you breach these Terms, fail to meet any platform expectations outlined herein (including Section 1.1, Section 3, Section 4, or Section 5), or if Circl determines in its sole discretion that your actions pose a legal, reputational, or physical safety risk to Circl or its community, Circl reserves the right to take any combination of the following measures immediately and, where reasonable in the circumstances, without prior notice. Suspension or termination does not affect any refund or cancellation right arising under applicable law, including the BPCPA, and does not relieve Circl of any refund obligation arising under Section 5.2:
- Temporary Account Suspension: Restrict or freeze your access to messaging, event hosting, or ticket purchasing while an internal investigation is conducted.
- Permanent Account Termination: Permanently revoke your account credentials, delete your public profile, and terminate your legal license to use the platform.
- Listing Removal & Event Cancellation: Instantly unpublish, cancel, or remove any active circl (group), event listing, or post created by your account.
- Financial Account Freeze & Clawback Execution: Freeze connected Stripe payout balances, restrict digital wallet disbursements, recover amounts owing in accordance with Section 5.3, and enforce debt recovery for attendee refunds, chargebacks, or dispute penalties resulting from non-hosted (“ghost”) events or scams.
- Identity Blacklisting: Prevent the re-registration of accounts associated with the violating account, retaining for that purpose only such information as is reasonably necessary, and for no longer than is reasonably required for that purpose.
8.2Legal Right to Measure Enforcement Across Expectations
You explicitly acknowledge that the specific rules and expectations set forth across Section 1 (Eligibility), Section 3 (Communications), Section 4 (Community Standards), and Section 5 (Financial Terms) are non-exhaustive operational examples of conduct that governs your account status. Failure to satisfy any affirmative duty, host obligation, or conduct requirement under these Terms constitutes a direct breach of contract triggering Circl's full enforcement rights under Section 8.1.
8.3Voluntary Account Deletion by User
You may terminate your agreement with Circl at any time by deleting your account through your account settings, in the Circl mobile application or on the Circl website. Voluntary deletion does not release you from pre-existing financial obligations, pending host dispute liabilities, or indemnification duties for actions taken prior to account termination.
9Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada for the resolution of all legal disputes.
10General
10.1 Preservation of Consumer Rights. Nothing in these Terms excludes, restricts or modifies any right, benefit, protection, guarantee or remedy conferred on you by the BPCPA or by any other applicable law, to the extent that it cannot lawfully be excluded, restricted or modified. To the extent that any provision of these Terms conflicts with any such right, that provision applies only to the extent permitted by law, and the remainder of these Terms continues to apply. Nothing in these Terms prevents you from making a complaint to Consumer Protection BC, the Office of the Information and Privacy Commissioner for British Columbia, the Canadian Radio-television and Telecommunications Commission or the British Columbia Human Rights Tribunal, or from bringing a claim in the Civil Resolution Tribunal.
10.2 Severability. If any provision of these Terms is held to be invalid, unenforceable or void, including by operation of section 3 of the BPCPA, that provision is severed only to the extent of the invalidity, and the remaining provisions continue in full force and effect. Where a provision is capable of being given effect in a narrower form that is enforceable and consistent with the parties' intent, that provision applies in that narrower form.
10.3 Versioning. Circl will publish the effective date and version number of these Terms, and will retain, and make available on request, superseded versions.
